SKIYNRX Ambassador Program Terms and Conditions

These Terms and Conditions were last updated on and are effective as of June 6, 2025.

This Agreement describes and provides the terms and conditions (the “Terms”) that govern and apply to your participation in SKIYNRX’s Ambassador Program (the “Program”).

You may only participate in the Program if you are eighteen (18) years of age or older.

You agree that your participation in the Program shall constitute express consent to these Terms.

FAILURE TO COMPLY WITH THESE TERMS WILL RESULT IN IMMEDIATE TERMINATION OF YOUR AMBASSADOR ACCOUNT AND ALL RELATED PRIVILEGES, AS WELL AS FORFEITURE OF ALL UNPAID COMMISSIONS THAT HAVE BEEN EARNED THROUGH YOUR PARTICIPATION IN THE AMBASSADOR PROGRAM.

SKIYNRX further reserves its right to pursue any and all claims, legal and equitable, that may result from any violation of these Terms.

SKIYNRX expressly reserves the right to modify these Terms at any time, with or without notice to you. Your continued participation in the Program following any such change shall constitute and evidence your agreement to any such modification to these Terms.

SKIYNRX reserves the right to approve, reject, suspend, or terminate any ambassador account at its sole discretion.

Commissions will only be paid on completed and verified sales successfully tracked through the ambassador’s unique referral link. Orders that are canceled, refunded, disputed, or deemed fraudulent will not qualify for commission payments.

SKIYNRX reserves sole and exclusive discretion over the approval, acceptance, and/or rejection of any and all applications to join or otherwise participate in the Program. You may only participate in the Program if you are eighteen (18) years of age, or older, and by applying for and/or participating in the Program, you expressly represent that you are eighteen (18) years of age, or older.

YOU ARE ONLY PERMITTED TO APPLY FOR AND USE ONE AMBASSADOR LINK.

APPLICATION FOR MORE THAN A SINGLE AMBASSADOR LINK, PER PERSON, IS GROUNDS FOR IMMEDIATE TERMINATION AND CONSTITUTES SUFFICIENT GROUNDS FOR FORFEITURE OF ALL UNPAID COMMISSIONS THAT HAVE BEEN EARNED THROUGH YOUR PARTICIPATION IN THE AMBASSADOR PROGRAM.

If you wish for SKIYNRX to deactivate an Ambassador Link that you have previously applied for and that has been approved, for any reason (including, but not limited to, your desire to apply for a new Ambassador Link), you may send a request to parisglowroutine@gmail.com.

Upon acceptance of your application to participate in the SKIYNRX Ambassador Program, SKIYNRX will provide you with a unique Ambassador Link that you can use – in compliance with these Terms – to earn twenty percent (10%) of the Gross Revenue received by SKIYNRX for purchases of SKIYNRX merchandise through www.skiynrx.com made using your Ambassador Link (or that are otherwise directly attributable to your Ambassador Link) (the “Commission”).

“Gross Revenue,” as used and referred to in this section, refers to the amount actually paid by a customer for the purchase of SKIYNRX merchandise and does not include any charges for shipping, sales tax, duties, fees, or any other similar charges levied on the customer at the time of purchase.

SKIYNRX shall pay the Commission to you in accordance with its then-applicable payment policies and practices. SKIYNRX expressly reserves the right to modify its payment policies and practices at any time, in its sole discretion. Notwithstanding the foregoing, SKIYNRX will make reasonable efforts to communicate all payment policies and practices applicable hereto and to provide reasonable advance notice to you of any material change to those policies and practices before implementation.

You hereby acknowledge the sufficiency of the Commission in exchange for your participation in the Program and agree that you shall have no entitlement to any consideration, compensation, or commission, whether in cash, equity, or otherwise, other than the Commission expressly described herein.

SKIYNRX may provide regular guidance, updates, promotional materials, campaign information, and instructions regarding permitted use of Ambassador Links and participation in the Program through online platforms designated by SKIYNRX, including but not limited to email, community platforms, messaging groups, ambassador portals, or other communication channels.

You may be required to join and maintain access to such platforms upon receiving notice from SKIYNRX that they are being used for Program communications.

You are responsible for reviewing and staying informed of all guidance, updates, announcements, policies, and materials distributed through such communication channels. You shall be deemed to have received and understood all Program-related communications whether or not you actively review such materials or participate in activities communicated through those channels.

SKIYNRX expressly reserves the right to modify, update, or revise its policies, practices, requirements, and guidelines regarding participation in the Program and the permitted use of Ambassador Links at any time, in its sole discretion, with or without advance notice.

Your continued participation in the Program following any such modification shall constitute your acceptance of the revised policies, practices, requirements, and guidelines.

SKIYNRX may provide regular guidance and updates regarding prohibited uses of your Ambassador Link through designated communication channels, including but not limited to email, ambassador communities, messaging groups, ambassador portals, or other platforms selected by SKIYNRX.

As previously stated, you may be required to join such platforms upon receipt of notice that such platforms are being used by the Program. You are further obligated to monitor such guidance and updates and shall be presumed to be, and held responsible for being, familiar with such materials whether or not you actually access such materials or participate in Program activities communicated through those channels.

Current guidance regarding PROHIBITED use of your Ambassador Link includes, but is not limited to:

DO NOT create multiple ambassador accounts or use more than one Ambassador Link.

DO NOT share your Ambassador Link on coupon websites, discount code websites, deal forums, Reddit, or similar public promotional platforms without prior written authorization from SKIYNRX.

DO NOT bid on, purchase, or otherwise use SKIYNRX brand names, trademarks, product names, or related keywords through any advertising platform, including but not limited to Google Ads, Meta Ads, TikTok Ads, or similar services.

DO NOT make false, misleading, unverified, or exaggerated claims regarding SKIYNRX products.

DO NOT impersonate SKIYNRX, represent yourself as an employee of SKIYNRX, or create social media accounts that may reasonably cause confusion regarding your affiliation with SKIYNRX.

DO NOT use inappropriate, offensive, discriminatory, defamatory, unlawful, or otherwise harmful language or content while promoting SKIYNRX products.

DO NOT engage in spam marketing, unsolicited direct messaging, bulk messaging, or any marketing activity that violates applicable laws or platform policies.

DO NOT purchase products through your own Ambassador Link for the purpose of generating commissions.

DO NOT engage in fraudulent activity, including fake orders, chargeback schemes, commission manipulation, or any attempt to improperly influence tracking or commission calculations.

DO NOT disparage, defame, or make harmful statements regarding SKIYNRX, its products, employees, contractors, partners, customers, or business practices.

SKIYNRX expressly reserves the right to modify its policies and practices regarding permitted and prohibited uses of Ambassador Links at any time, in its sole discretion, with or without advance or written notice. Your continued participation in the Program following any such change shall constitute and evidence your agreement to any such modification of these Terms.

By applying for and participating in the SKIYNRX Ambassador Program, you represent and warrant that:

(a) You are eighteen (18) years of age or older;

(b) You have the full legal right, authority, and capacity to enter into this Agreement and to perform all obligations required under these Terms;

(c) Your participation in the Program will not violate any applicable law, regulation, rule, or ordinance, nor cause you to breach any agreement or obligation owed to any third party;

(d) You will not violate, infringe upon, misappropriate, or otherwise interfere with any intellectual property rights, proprietary rights, privacy rights, publicity rights, or other legal rights of any third party in connection with your participation in the Program;

(e) You will not publish, distribute, transmit, or otherwise engage in any content or conduct that is abusive, harassing, threatening, defamatory, harmful to reputation, discriminatory, hateful, racist, sexually explicit, pornographic, obscene, profane, unlawful, misleading, fraudulent, or otherwise objectionable while participating in the Program or promoting SKIYNRX;

(f) All information you provide to SKIYNRX in connection with the Program is truthful, accurate, complete, and current;

(g) You will conduct yourself in a professional manner and act in good faith when representing or promoting SKIYNRX, its products, services, employees, and brand.

Any breach of the foregoing representations and warranties shall constitute a material violation of these Terms and may result in immediate termination from the Program, forfeiture of unpaid commissions, and any other remedies available to SKIYNRX under applicable law.

SKIYNRX reserves sole and exclusive discretion over your participation in the Program. SKIYNRX may terminate and/or modify these Terms—or terminate and/or modify your participation in the Program—at any time and for any reason, with or without advance or written notice. Your continued participation in the Program following any such change shall constitute and evidence your agreement to any such modification of these Terms.

You have no entitlement to advance or written notice of termination or modification of your participation in the Program, and SKIYNRX has no obligation to provide advance or written notice of the termination, suspension, or deactivation of an Ambassador Link.

Upon termination or deactivation of an Ambassador Link, SKIYNRX shall provide a final accounting of any approved and unpaid commissions earned as of the effective date of termination. Any such commissions shall be paid in accordance with SKIYNRX’s then-applicable payment policies and practices.

Commissions that have been forfeited as a result of your violation of these Terms shall not be paid, and your participation in the Program shall constitute your acknowledgment and agreement to such forfeiture where warranted by a violation of these Terms, as determined by SKIYNRX in its sole and exclusive discretion.

The terms of this Agreement that, by their nature, meaning, or intended effect, are designed to survive termination shall continue in full force and effect following termination of this Agreement, including but not limited to provisions relating to commissions, intellectual property, prohibited conduct, representations and warranties, limitation of liability, indemnification, dispute resolution, and any other provisions that reasonably require survival to give effect to their purpose.

You recognize that SKIYNRX is engaged in a continuous program of product development and marketing strategization regarding its business activities. As such, you agree as follows:

At all times during your participation in the Program, and perpetually thereafter, you will hold in confidence and will not disclose, use, publish, or make copies of any of SKIYNRX’s Proprietary Information (defined below), except to the extent such disclosure, use, or publication may be: (i) expressly authorized in writing or by email by an authorized representative of SKIYNRX; or (ii) expressly required by law.

The term “Proprietary Information” shall mean private, confidential, trade secret, or other proprietary information (whether or not embodied or contained in some tangible form) relating to any actual or anticipated business of SKIYNRX or its Ambassadors, or any product development or marketing undertaken by SKIYNRX or its Ambassadors, or non-public information suggested by or resulting from any tasks assigned to you or work performed by you for or on behalf of SKIYNRX or its Ambassadors, whether disclosed to you before or after the Effective Date.

“Proprietary Information” shall not include any information that is: (i) generally known to the industry or the public; (ii) legitimately made available to you by a third party without breach of any confidentiality obligation; or (iii) part of your general skill and knowledge.

You shall indemnify, defend and hold harmless Company, and its parent companies,
subsidiaries, Ambassadors, shareholders, member, manager, officers, directors,
employees, agents, and representatives from and against any and all claims, costs,
proceedings, demands, losses, damages, and expenses (including, without limitation,
reasonable attorney’s fees and legal costs, which will be reimbursed as incurred) of any kind or nature, arising from or relating to, any actual or alleged breach of any of your representations, warranties, or covenants in these Terms or your negligence or
misconduct in participating in the Program. You may not settle any indemnified claim
against Company unless the settlement unconditionally releases Company of all liability. Company may participate in the defense of any indemnified claim at its expense. Company, at your expense, may undertake and control the defense of any indemnified claim in the event of the material failure of Influencer to undertake and control the same.

Other than as set forth herein, you may not issue a press, news or other release or
otherwise publicize that you are associated with or performing services for Company
without Company’s prior written permission.

You agree that you shall not orally or in writing criticize, disparage, make any negative statements, or otherwise undermine the reputation of SKIYNRX, or comment in any negative way upon the business operations, products, services, employees, practices, procedures, or policies of SKIYNRX.

By applying to and electing to participate in the Program, you acknowledge that:

You have carefully read and fully understands all provisions of these Terms.
You knowingly and voluntarily agree to all of the conditions, expectations, and
obligations set forth in these Terms and agree to be legally bound by all of them.
You have been and hereby is advised in writing to consider these Terms and to
consult with an attorney in relation thereto; and
To the extent necessary or desired, you have consulted with counsel of your
choice concerning these Terms and have done so or freely chosen not to do so.
